1. Agreement to Terms

By accessing or using Queel ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Queel. We may modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Platform. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years old to use Queel. By using the Platform, you represent and warrant that:

• You are 18 years of age or older
• You have the legal capacity to enter into this agreement
• You will comply with all applicable laws and regulations
• All information you provide is accurate, current, and truthful
• You will maintain the accuracy of your information
• You are not prohibited from using the Service under applicable laws

3. Account Registration and Security

3.1 Account Creation

To use certain features of Queel, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and current
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with others
• Not create multiple accounts for deceptive purposes

3.2 Account Types

• Job Seeker Accounts: For professionals seeking employment opportunities
• Company Accounts: For organizations posting jobs and recruiting
• Recruiter Accounts: For recruitment professionals

3.3 Account Termination

We reserve the right to suspend, disable, or terminate your account at any time for:

• Violation of these Terms or our policies
• Fraudulent, illegal, or harmful activity
• Abusive or harassing behavior toward other users or staff
• Spam, scams, or deceptive practices
• Inactivity for more than 24 months (with 30 days' notice)
• Request from law enforcement or regulatory authorities

4. User Content and Intellectual Property

4.1 Your Content Ownership

You retain ownership of all content you upload to Queel ("User Content"), including:

• Video introductions and application videos
• Profile information and descriptions
• Resumes and professional documents
• Messages and comments
• Job postings (for companies)

4.2 License to Queel

By uploading User Content, you grant Queel a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

• Use, reproduce, distribute, modify, adapt, and display your User Content
• Create derivative works from your User Content (e.g., thumbnails, previews)
• Publicly perform and display your User Content on the Platform
• Promote the Platform using your User Content (with your consent)

This license is solely for the purpose of operating, promoting, and improving the Service. The license ends when you delete your content or account, except for content shared with others (e.g., job applications, messages).

4.3 Content Standards and Prohibited Content

You agree not to upload User Content that:

• Is false, misleading, fraudulent, or deceptive
• Violates any third-party intellectual property, privacy, or publicity rights
• Contains malware, viruses, or malicious code
• Is defamatory, obscene, pornographic, or sexually explicit
• Promotes violence, terrorism, or illegal activities
• Contains hate speech, discrimination, or harassment
• Includes personal information of others without their consent
• Violates any applicable law or regulation
• Infringes on copyrights, trademarks, or patents
• Contains unsolicited advertising or spam

4.4 Content Moderation

We reserve the right (but are not obligated) to review, monitor, remove, or disable access to any User Content that violates these Terms or is otherwise objectionable. We may also use automated tools and human moderators to detect prohibited content.

5. Acceptable Use and Prohibited Activities

You agree to use Queel only for lawful purposes. You agree NOT to:

5.1 Technical Abuse

• Use automated systems (bots, scrapers, crawlers) to access the Platform
• Attempt to circumvent security measures, access controls, or rate limits
• Reverse engineer, decompile, or disassemble any part of the Platform
• Interfere with or disrupt the Platform, servers, or networks
• Introduce viruses, malware, or harmful code
• Overload or attempt to crash our systems (DoS attacks)

5.2 Fraudulent Activities

• Impersonate another person, company, or entity
• Create fake profiles or provide false information
• Post fake jobs or fraudulent opportunities
• Engage in phishing, scams, or pyramid schemes
• Misrepresent your qualifications or experience

5.3 Harmful Behavior

• Harass, stalk, threaten, or harm other users
• Discriminate based on race, ethnicity, religion, gender, sexual orientation, disability, or age
• Collect personal information of other users without consent (data scraping)
• Send unsolicited messages, spam, or chain letters
• Engage in any form of sexual harassment

5.4 Commercial Misuse

• Use the Platform for unauthorized commercial purposes
• Resell or redistribute access to the Platform
• Use content or data from the Platform to train AI models without authorization
• Frame or mirror any part of the Platform

6. Platform Features and Services

6.1 Video Services

• Video uploads are limited to 5 minutes per video
• Maximum file size: 500MB per video
• Accepted formats: MP4, MOV, AVI
• Videos are transcoded for optimal playback
• We reserve the right to remove videos that violate our policies

6.2 Job Applications

• Job applications are submitted directly to hiring companies
• We do not guarantee job placement or interview opportunities
• Companies make all hiring decisions independently
• Application data is shared with the company you apply to

6.3 Messaging

• Messages are subject to our Content Standards
• We may monitor messages to prevent abuse
• Messages are retained according to your privacy settings (default: 2 years)
• We are not responsible for the content of messages between users

7. Payments and Subscriptions

7.1 Current Status

All Queel features are currently provided free of charge. Paid subscription plans (such as Premium and Company tiers) are in development and are not yet available for purchase. Any pricing shown on the Platform is preview material only and does not constitute an offer or binding price quote. No payment method is collected at signup and no charges are made.

7.2 Future Paid Services

When paid features become available, we will give you notice before billing begins, and you will need to explicitly opt in by entering a payment method. Anticipated paid features may include:

• Premium job seeker features (enhanced visibility, analytics)
• Company recruiting tools (job postings, candidate search)
• Advanced messaging and networking features

7.3 Billing (When Paid Plans Launch)

These terms describe how billing will work once paid plans are activated. They do not apply today because no paid plans are currently being offered or charged.

• Subscription fees will be billed in advance on a monthly or annual basis
• All fees will be in U.S. Dollars unless otherwise stated
• Payments will be processed through a reputable third-party payment processor
• You will be required to authorize recurring charges before any subscription begins
• Prices may change with 30 days' notice

7.4 Refunds and Cancellations

These terms will apply once paid plans are activated:

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial months or unused time
• No refunds for account terminations due to Terms violations
• Refunds may be granted at our sole discretion for technical issues

7.5 Taxes

If and when you purchase paid services, you will be responsible for any taxes, duties, or government charges applicable to your use of paid services. Fees are exclusive of taxes unless otherwise stated.

8. Intellectual Property Rights

8.1 Queel's IP

The Platform and its content (excluding User Content) are protected by copyright, trademark, and other intellectual property laws. This includes:

• The "Queel" name and logo (registered trademarks)
• Platform design, layout, and user interface
• Software, code, and algorithms
• Text, graphics, images, and videos created by Queel

8.2 Limited License to Users

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. This license does NOT include the right to:

• Resell, redistribute, or commercially exploit the Platform
• Modify, create derivative works, or reverse engineer
• Download, copy, or extract data (except your own via Data Export)
• Use the Platform for competitive purposes
• Remove copyright notices or proprietary markings

8.3 Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on Queel infringes your copyright, please submit a DMCA notice to dmca@queel.com with:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on Queel
• Your contact information (name, address, phone, email)
• A statement that you have a good faith belief the use is not authorized
• A statement that the information is accurate and you are authorized to act
• Your physical or electronic signature

We will investigate valid DMCA notices and remove infringing content within 48 hours.

8.4 Repeat Infringers

We will terminate accounts of users who repeatedly infringe on intellectual property rights.

9. Privacy and Data Protection

Your use of Queel is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Platform, you consent to our data practices as described in the Privacy Policy. Key points:

• We comply with GDPR, CCPA, UAE PDPL, and KSA PDPL
• You have rights to access, rectify, delete, and export your data
• We use cookies and tracking technologies (configurable)
• We do not sell your personal information
• All data is encrypted in transit and at rest

10. Disclaimers and "AS IS" Service

10.1 No Employment Guarantees

Queel is a platform that facilitates connections between job seekers and employers. We do NOT:

• Guarantee job placement, employment, or interviews
• Verify qualifications, backgrounds, or credentials of users
• Endorse or recommend any specific user, company, or job posting
• Control hiring decisions made by companies
• Act as an employer or recruiter

10.2 User Content Disclaimer

We are not responsible for:

• The accuracy, legality, or quality of User Content
• Offensive, inappropriate, or harmful content posted by users
• User conduct, communications, or interactions
• Disputes between users or between users and third parties

11. Limitation of Liability

12. Indemnification

You agree to indemnify, defend, and hold harmless Queel and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Platform
• Your User Content or any content you post
• Your violation of these Terms or any law or regulation
• Your violation of any third-party rights (intellectual property, privacy, publicity, etc.)
• Your negligence or willful misconduct
• Any damage caused to other users or third parties through your use of the Platform

13. Dispute Resolution and Governing Law

13.1 Informal Resolution

If you have a dispute with Queel, please contact us first at legal@queel.com to attempt to resolve the dispute informally. We will work in good faith to resolve your concern.

13.2 Binding Arbitration

If we cannot resolve the dispute informally within 60 days, any dispute arising from or relating to these Terms or the Platform shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

• Arbitration language: English
• Each party bears their own costs unless otherwise awarded by the arbitrator
• The arbitrator's decision is final and binding

13.3 Exceptions to Arbitration

Either party may seek injunctive relief in court for:

• Intellectual property infringement
• Unauthorized access to the Platform
• Breach of confidentiality

13.4 Class Action Waiver

13.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. For users outside the United States, local consumer protection laws may also apply.

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

• Going to Settings → Privacy → Delete Account
• Emailing support@queel.com

14.2 Termination by Queel

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Requests from law enforcement
• Discontinuation of the Service
• Extended period of inactivity

14.3 Effect of Termination

Upon termination:

• Your right to access and use the Platform immediately ceases
• We will delete your account and data within 30 days (GDPR compliance)
• No refunds for unused subscription time
• Content shared with others (job applications, messages) may be retained as necessary
• Provisions that by their nature should survive (indemnification, disclaimers, limitations) will continue

15. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. We will provide reasonable notice of material changes that significantly impact your use of the Platform.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Queel regarding your use of the Platform and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver shall be effective unless in writing.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, pandemics, or internet outages.

16.6 Export Control

You agree to comply with all applicable export and import control laws and regulations. You represent that you are not located in a country subject to U.S. embargo or on any U.S. government list of prohibited parties.

16.7 Language

These Terms are provided in English. Any translations are for convenience only. In case of conflict, the English version shall prevail.
